1. Acceptance of Terms

By accessing or using the services provided by Equity Flow AI ("Company," "we," "us," or "our"), including our website at equityflowai.com and all related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Equity Flow AI. By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Services

Equity Flow AI provides custom business automation services, including but not limited to:

Custom automation design and implementation tailored to your specific workflows and operational needs.
Workflow automation to streamline repetitive tasks, data processing, and business operations.
Integration services connecting your existing tools and platforms (CRMs, email providers, project management tools, databases, and more) into cohesive automated systems.
Ongoing support, maintenance, and optimization of deployed automations.

The specific scope of services provided to you will be determined by the written agreement between you and Equity Flow AI, including the scoping call summary and flat-fee proposal.

3. Account Registration & Responsibilities

To use our services, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

Provide truthful and accurate information during onboarding and at all times.
Keep your login credentials secure and confidential.
Notify us immediately at info@equityflowai.com if you suspect unauthorized access to your account.
Not share your account access with unauthorized third parties without our prior written consent.

4. Payment Terms

Equity Flow AI charges a one-time flat build fee and an optional flat monthly care plan. The exact figures are scoped to your team size and agreed upon in writing before any work begins. No work starts until you have a flat figure in writing and have approved it.

Care Plan: The monthly care plan covers hosting, monitoring, tuning, and a monthly review. It is billed monthly and may be cancelled at any time. The engine you own continues to run regardless of whether you remain on the care plan.

We reserve the right to change care plan pricing with 30 days' notice. Continued use of the care plan after a price change constitutes acceptance of the new pricing.

5. Intellectual Property

Client-Owned Work: All custom automations, workflows, and configurations built specifically for a client are owned by the client upon full payment of the build fee. Clients retain full ownership of their custom automations upon termination of services.

Company-Owned Property: Equity Flow AI retains all rights to its proprietary methodologies, templates, frameworks, and any pre-existing intellectual property developed independently of client work.

6. Data Handling & Automation Disclaimers

In the course of providing our services, Equity Flow AI processes data on behalf of clients through automated workflows. You acknowledge and agree to the following:

We act as a data processor, handling your data in accordance with your instructions and the configurations you approve.
We are not responsible for the accuracy or reliability of data sourced from third-party integrations.
You are solely responsible for ensuring compliance with all applicable data protection laws (including GDPR, CCPA, and others) as they relate to the data you process through your automation.
You are responsible for obtaining any necessary consents from your end users or customers before processing their data.

7. Service Availability & Uptime

Equity Flow AI strives to maintain high availability of all services. However, we provide our services on a "best effort" basis and do not guarantee any specific uptime percentage unless agreed upon in a separate written SLA.

We are not liable for any losses or damages resulting from service interruptions caused by third-party platforms, internet outages, or circumstances outside our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Equity Flow AI and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to Equity Flow AI in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Equity Flow AI and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses arising from or related to:

Your use of our services.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Any data you process through your automation that infringes on the rights of a third party.

10. Termination

Either party may terminate the service relationship at any time. To cancel, contact us at info@equityflowai.com.

Upon termination of the care plan, the engine you own continues to operate. We will provide reasonable assistance in transitioning the engine to your full control.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Georgia.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect.
